Welcome to ViClinic Inc. These terms and conditions (the "Agreement") govern your use of all content, services, and products (the "Service") provided by ViClinic Inc. ("ViClinic") and available on the ViClinic site (the "Site"). The Service is owned and operated by ViClinic and is offered subject to your acceptance without modification of all of the terms and conditions contained herein. This Agreement also includes all other operating rules, policies, and procedures that may be published from time to time on the Site.

1. Acceptance of Terms
By accessing our Site or using the Service, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not access the Service. Your continued use of the Service after any modifications to this Agreement constitutes acceptance of those changes.

2. Age Requirement
You must be at least eighteen (18) years of age to use the Service. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its users to this Agreement.

3. ViClinic's Role
ViClinic is a platform that facilitates your access to telemedicine, expert medical services, and concierge services. We are not a healthcare provider, insurance provider, or prescription fulfillment service. Healthcare providers offering telemedicine or concierge services ("Provider Services") through our platform operate independently of ViClinic.

4. Not a Replacement for Primary Care
The Service is not a substitute for your primary care physician, annual office check-ups, or other treating providers. It serves as a platform to connect you with healthcare providers and offer subscription-based concierge services for specific medical needs.

5. Member, Concierge, and Healthcare Provider Relationships
ViClinic acts as a venue for members ("Members"), concierge subscribers, and healthcare providers ("Healthcare Providers") to access services on the Site. ViClinic is not a party to any actual agreement or transaction between Healthcare Providers and Members. The accuracy and correctness of the content or information provided by Healthcare Providers, Members, or concierge services are beyond our control.

6. Subscription and Concierge Services
ViClinic now offers subscription-based concierge services, allowing Members to engage in personalized, on-demand healthcare management. As part of this service, Members may have access to customized care plans, priority appointments, and direct communication with designated healthcare providers. Subscription fees apply, and cancellation policies may differ based on the concierge service tier selected.

7. AI-Driven Pre-Visit Symptom Deep Dive
ViClinic offers an AI-driven Pre-Visit Symptom Deep Dive feature that automates the collection of structured, comprehensive symptom data before your appointment. This information is summarized and integrated into your healthcare provider's electronic medical record (EMR) to improve the accuracy and efficiency of your diagnosis and treatment.By using the AI feature, you agree to the collection and processing of your health data, including symptom descriptions, intensity, duration, and related medical information, which will be securely stored and handled in accordance with HIPAA regulations.

8. Separate Agreements
Users acknowledge that separate agreements and/or waivers may be required between Healthcare Providers and Members before purchasing Provider Services. These agreements may impose additional restrictions or terms regarding Provider or Concierge Services.

9. Your Representations and Warranties
By registering on the Site, you represent and warrant that you are at least eighteen (18) years old, have the legal ability and authority to enter into this Agreement, provided accurate registration information, will comply with all applicable laws, and will not interfere with the Service's operation.

10. Healthcare Provider Responsibilities
Healthcare Providers are responsible for the quality of Provider Services, compliance with applicable laws, obtaining patient consent, and adhering to privacy laws, including HIPAA, for both telemedicine and concierge services. They are also responsible for reviewing the AI-driven symptom summaries before patient consultations to ensure accurate diagnosis and treatment.

11. Account Registration and Concierge Services
Healthcare Providers and Members registering for concierge services must provide accurate personal information and agree to the payment terms applicable to their subscription tier. Transaction fees apply and are subject to change. Members may also be required to update payment information in compliance with third-party payment processor terms.

12. Payment Terms
Payments for completed services, including concierge subscriptions, are processed via third-party payment providers, and their terms apply. Providers will receive payment for services based on the agreed subscription or individual service terms.

13. General Account Terms
Users are responsible for maintaining account security. Unauthorized account activity must be reported to ViClinic. Users must not use the Service for illegal purposes.

14. Content
Users are responsible for the content they make available on the Site. Content must not infringe on third-party rights, contain harmful or unethical material, or mislead others.

15. Cancellation and Refund Policy
Subscription fees and service charges for concierge services may be refundable if canceled within a specified time frame. Users are responsible for reviewing the specific terms of their chosen subscription plan.

16. Data Collection and AI Integration
Users agree that ViClinic may collect and use their personal and health data, including information gathered through the AI-driven Pre-Visit Symptom Deep Dive, to facilitate telemedicine or concierge services. Users can request access to this data and manage their consent through their account settings.

17. Changes
ViClinic reserves the right to modify these terms and conditions. Users will be notified of changes, and continued use of the Service constitutes acceptance of the changes.

18. Limitation of Liability
ViClinic is not liable for any damages, including bodily injury, arising from the Service or concierge services. In no event will ViClinic's liability exceed the fees paid by the user in the six (6) months preceding the claim.

19. Indemnification
Users agree to indemnify ViClinic against claims resulting from their breach of this Agreement or violation of any law or third-party rights.

20. Dispute Resolution
Disputes will be resolved through arbitration administered by the American Arbitration Association. This Agreement is governed by Delaware law.

21. Miscellaneous
Compliance with laws is mandatory. Headings are for reference purposes. This Agreement constitutes the entire agreement. If any part of this Agreement is invalid, the rest remains in effect. ViClinic may suspend or terminate user access if necessary. No employment or agency relationship is created by this Agreement.
